Terms of Service

  1. Introduction 1.1 The Coaching Hut Website helps Clients to find Coaches, Coaches to market their services, and for Clients to book and pay for Coaching sessions. All of these terms and conditions apply to Clients and Coaches, unless they specifically state otherwise. Clause 5 only applies to Coaches. These terms and conditions replace any previous versions of them.

1.2 The Coaching Hut Website is owned and operated by The Coaching Hut Ltd, trading as The Coaching Hut. The Coaching Hut is a limited liability company registered in England and Wales under company number 16290042. The Coaching Hut's registered office is at 14 Belmont Park Road, Maidenhead, SL6 6HT. The Coaching Hut's other contact details are set out on the Website, which is at https://thecoachinghut.com

1.3 A User may register on the Website as a Client or as a Coach and when a User does register, certain information will be stored, making future visits to the Website easier.

1.4 By registering on or using our Website, the User agrees to be bound by these terms and conditions. These terms and conditions are legally binding – every User should read them fully before agreeing to them. (Please print or save these terms for future use as The Coaching Hut will not keep a file copy specifically for the User and The Coaching Hut cannot guarantee that they will remain accessible on the Website in future.) If a User does not wish to be bound by these terms, they should not use the Website.

1.5 Where the person who agrees these terms and conditions contracts on behalf of a company/organisation, they hereby confirm that they have authority to act on behalf of that entity.

1.6 Certain words are defined in clause 18 (Definitions) of these terms and conditions and are capitalised throughout.

  1. The Coaching Hut Rights & Responsibilities This clause sets out what The Coaching Hut promises to do: 2.1 To help Coaches and Clients to meet by allowing Coaches to advertise their professional coaching services on the Website, and Clients to book and pay for Coaching sessions.

2.2 To maintain a functioning Website, including communication systems, a booking platform and Online Coaching Room, wherever possible. The Coaching Hut cannot guarantee that the Website will always be available, or that it will always work, but it will try to have it up and running properly at all times. Every now and again, the Website might need to be taken offline for maintenance purposes.

2.3 To communicate any planned maintenance of the Website or downtime.

2.4 To use reasonable endeavours (which means to try hard!) to keep the Website free from viruses and worms.

2.5 To use reasonable endeavours to check the accreditation of all Coaches.

2.6 To decide when a Coach’s profile is sufficiently complete to be set live on the Website and be accessible by other Users.

2.7 To communicate new Bookings, confirmation of Bookings and cancellations, to both Clients and Coaches via the Website and by email (except where a Client or Coach has chosen to alter their notification settings to exclude email communication).

2.8 To endeavour to ensure that each Client’s payment of Session Fees and the payment of each Coach’s Coach Fees are processed promptly and usually within 9 days of a Session, when there is no Complaint or Failed Payment.

2.9 To endeavour to ensure Complaints are considered promptly and in accordance with these terms and conditions.

2.10 To endeavour to ensure that refunds to Clients are made promptly in accordance with these terms and conditions.

2.11 To endeavour to ensure that Failed Payments are processed promptly and in accordance with these terms and conditions.

2.12 To take precautions The Coaching Hut considers appropriate to protect Clients' and Coaches' information.

2.13 To monitor postings made on the Website and messages sent between Clients and Coaches. The Coaching Hut does so in the hope of helping Clients and Coaches meet, but also to stop misuse of the Website, as set out in these terms and conditions.

  1. User Responsibilities – this applies to both Clients and Coaches, and anyone else who uses the Website 3.1 Users are responsible for their own security in conjunction with the services through the Website, both online and offline.

3.2 Users are solely responsible for the material they post on the Website, including messages sent, and they must not post defamatory, offensive or illegal material.

3.3 Users must immediately report to The Coaching Hut any defamatory, offensive or illegal material they view on the Website.

3.4 Users must exercise their own judgement regarding the accuracy of information provided on the Website. The Coaching Hut cannot and does not guarantee that all of the content on the Website is complete, accurate or up to date.

3.5 Users must contact The Coaching Hut immediately if they believe their password has been compromised. Users will be responsible for the actions of any interactions conducted in their name until they have notified The Coaching Hut that they believe their password has been compromised.

3.6 Users must not use the Website with the intention of engaging directly with other Users outside of the The Coaching Hut environment. Users must not promote opportunities or services of any company other than The Coaching Hut on the Website.

3.7 Users agree to abide by the Privacy Policy provided through the Website.

3.8 Any User who fails, in The Coaching Hut’s opinion, to comply with these terms and conditions may be immediately suspended from using the Website and any related services. The Coaching Hut reserves the right to cancel any existing bookings in such circumstances.

  1. Client Responsibilities 4.1 The Coaching Hut is not responsible for the acts or omissions of Clients or Coaches and is solely responsible for its own acts or omissions.

4.2 Clients must be at least 18 years old to book a Coach for themselves. Clients under the age of 18 must be represented by a parent or legal guardian who gives consent for them to receive coaching from a Coach via The Coaching Hut. The Coaching Hut is not responsible for any dispute between a person under the age of 18 and a parent or guardian.

4.3 Clients must ensure that all of their personal details and contact information are accurate and up to date. The Coaching Hut will contact Clients by email.

4.4 When a Booking is made more than 24 hours in advance of the start time of the first Session, Clients have up to 24 hours before their first Session with a new Coach is due to commence to confirm the Booking.

4.5 To confirm a Booking for their first Session with a Coach, the Client must enter, or have already entered, valid payment details on the Website.

4.6 When a Booking is confirmed, the Client enters into a direct contract with the Coach for the provision of Coaching sessions and The Coaching Hut accepts no liability in relation to the Coach’s provision of coaching sessions.

4.7 When a confirmed Booking exists, the Client must ensure that they have a valid debit/credit card registered on the Website, with sufficient funds to cover the Booking.

4.8 Clients agree not to circumvent or disintermediate, or attempt to circumvent or disintermediate, The Coaching Hut in any way at the time of booking any Coach, during any period of confirmed Bookings with any Coach or at any time within six months of the date of the most recent Booking with the relevant Coach (the "Client Restriction Period") and that, save where The Coaching Hut has barred the Client or Coach in accordance with clause 4.14, all future Coaching sessions within the Client Restriction Period with a Coach found through the Website will be booked through The Coaching Hut.

4.9 Clients must ensure that they have given enough information to the Coach, to allow the Session to take place.

4.10 Clients must use their own judgement about the services of Coaches detailed on the Website. Although The Coaching Hut undertakes certain checks to assess the suitability of each Coach prior to setting their profile live on the Website, Clients are responsible for checking the credentials, expertise, references, qualifications and insurance policies of any Coach with whom they confirm a Booking.

4.11 Clients are responsible for checking that Bookings made by Coaches on their behalf are done so correctly and understand they will be informed of these Coaching sessions by email (except where a Client has chosen to alter their notification settings to exclude email communications) and through the Website only.

4.12 Clients are responsible for ensuring that they have the correct equipment to be able to access the Online Coaching Room prior to an Online Session. No refunds will be made in the event that Clients are unable to access the Online Coaching Room for whatever reason, save where such inability to access the Online Coaching Room arises as a result of The Coaching Hut failing to provide the services outlined in clause 2.2 of these terms and conditions.

4.13 Any Client who fails, in The Coaching Hut's reasonable opinion, to comply with these terms and conditions may be immediately barred from using the Website and any related services. The Coaching Hut reserves the right to cancel any existing Bookings in such circumstances.

4.14 Cancellations: Should the Coach cancel a Booking, 100% of the Coach Fee shall be returned to the Client. The Coach shall incur a cancellation charge of 10% of the original Coach Fee. Should the Client cancel a Booking more than 24 hours before the session, 95% of the Coach Fee shall be returned to the Client. The Coaching Hut will, as the Coach’s agent, automatically instruct Stripe to charge the Client 100% of the Session Fee and payment and refund will be processed in accordance with these terms and conditions. Should the Client cancel a Booking less than 24 hours before the session, 100% of the Coach Fee shall be forfeited, The Coaching Hut will, as the Coach’s agent, automatically instruct Stripe to charge the Client 100% of the Session Fee and payment will be processed in accordance with these terms and conditions.

4.15 Nothing in these terms and conditions affects a Client's statutory rights.

4.16 Simply by agreeing to these terms and conditions, a Client is not required to sign up with any Coach or make any Bookings.

4.17 Subject to paying for any Bookings used, a Client may cease to use the The Coaching Hut service at any time.

4.18 Clients agree to not use any means to record coaching sessions separately to The Coaching Hut. This includes storing or sharing them.

4.19 Coaches agree to not use any means to record coaching sessions separately to The Coaching Hut. This includes storing or sharing them.

4.20 Coaches agree to be rated by Clients on the website. The Coaching Hut provides its automatic review system as a means through which Users can express their opinions publicly, and The Coaching Hut will periodically review but will not censor these opinions or investigate any remarks posted by Users for accuracy or reliability unless a User brings the posting to The Coaching Hut's attention. You may be held legally responsible for damages suffered by other Users or third parties as a result of these remarks if a court finds that these remarks are legally actionable or defamatory. The Coaching Hut is not legally responsible for any feedback or comments posted or made available on the The Coaching Hut Platform by any Users or third parties, even if that information is defamatory or otherwise legally actionable. You agree to report violations or abuses of our review system immediately by contacting The Coaching Hut via the Contact Us page; www.thecoachinghut.com/contact-us.

  1. Coach Status and Responsibilities 5.1 Coaches are not employees of The Coaching Hut and are solely responsible for their own actions both on and off the Website.

5.2 Coaches must be at least 18 years old.

5.3 Coaches must be legally entitled (possessing the relevant immigration status where relevant) to work in the UK on a self-employed basis.

5.4 If Coaches contact Clients who are under 18, they must ensure that these Clients are represented by a parent or legal guardian who gives consent for the Client to receive coaching. 5.5 Coaches are responsible for ensuring that the personal information they provide and their personal statements on the Website are accurate and in no way misleading. They must update this information promptly to maintain its accuracy.

5.6 Coaches must disclose any criminal convictions or cautions they may have to The Coaching Hut, including any criminal convictions or cautions received at any time after having registered a Coach account on the Website and for as long as the Coach remains registered.

5.7 All Coaches shall upload accreditations and insurance certificates and have them checked. Coaches shall provide The Coaching Hut with a copy of evidence of such documents upon request.

5.8 Any Coach who, in The Coaching Hut's opinion, fails to comply with these terms and conditions may be immediately barred from using the Website and related services. The Coaching Hut reserves the right to cancel any existing Bookings at any time in such circumstances.

5.9 Coaches must use their own judgement about whether they wish to offer their coaching services to each individual Client. Coaches must take every precaution to ensure that they work in a safe environment and are responsible for taking out and maintaining their own insurance policies to cover the work they undertake.

5.10 Coaches are responsible for setting their own fee (“Coach Fee”).

5.11 Coaches agree to be rated by Clients on the website. The Coaching Hut provides its automatic review system as a means through which Users can express their opinions publicly, and The Coaching Hut will periodically review but will not censor these opinions or investigate any remarks posted by Users for accuracy or reliability unless a User brings the posting to The Coaching Hut's attention. The Coaching Hut is not legally responsible for any feedback or comments posted or made available on the The Coaching Hut Platform by any Users or third parties, even if that information is defamatory or otherwise legally actionable. You agree to report violations or abuses of our review system immediately by contacting The Coaching Hut via the Contact Us page; www.thecoachinghut.com/contact-us.

5.12 Coaches should make Bookings for Coaching sessions and respond to messages received from The Coaching Hut and Users promptly.

5.13 For any meetings (including coaching sessions, trials or assessing Client need) with a Client found via The Coaching Hut's Website, Coaches must make a Booking to account for this time using the Website. Coaches agree not to solicit Clients or disintermediate The Coaching Hut, or attempt to solicit Clients or disintermediate The Coaching Hut, in any way, at the time of booking any Session with any Client, during any period of confirmed Bookings with any Client or at any time within six months of the date of the most recent Booking with the relevant Client (the "Coach Restriction Period").

5.14 Coaches must attempt to contact the Client should the Client be late to the session, be able to provide evidence of the contact and allow at least 15 minutes from the scheduled start time of a Session for Clients to attend the Session. If Coaches fail to do so, they will be liable to refund to the Client any Coach Fee they have received for the relevant booking.

5.15 Coaches must ensure that all written communication with Clients to organise Bookings and arrange Coaching sessions takes place via the Website.

5.16 Coaches shall indemnify The Coaching Hut for all claims and liabilities arising out of any use by the Coach of the Website, including any costs and expenses incurred.

5.17 Coaches are responsible for ensuring that they have the correct equipment to be able to access the Online Coaching Room prior to an Online Session. Coaches will be liable to refund any fees received for an Online Session in the event that they are unable to access the Online Coaching Room for whatever reason, save where such inability to access the Online Coaching Room arises as a result of The Coaching Hut failing to provide the services outlined in clause 2.2 of these terms and conditions.

5.18 Coaches are responsible for ensuring that they are at the online Session ready to coach at the agreed time as booked on the Website. Coaches who are late for a Session must provide evidence that they contacted the Client directly to make them aware of their lateness and that the Client was happy to take the Session at a later time. Any Coaches who fail to do so will be liable to refund to the Client any Coach fee they have received for the relevant booking and additionally will be liable to pay The Coaching Hut a charge of 10% of the Coach Fee.

5.19 Without limitation, the Services may not be used to solicit for any other business, website, or service. You may not solicit, advertise for, or contact in any form Users for employment, contracting, or any other purpose not related to the Service facilitated through The Coaching Hut without express written permission from The Coaching Hut. You may not use the Service to collect usernames and/or email addresses of Users by electronic or other means without The Coaching Hut’s express prior written consent.

  1. Payment 6.1 The Coach Fee payable by a Client for a Session will be displayed on the Website at the time of confirming a Booking. The Coach Fee will also be displayed on the Client’s coaching sessions dashboard on the Website, in Session reminder emails and, following Coaching sessions, in emails confirming receipt of payment.

6.2 The Coach Fee is inclusive of The Coaching Hut’s Service Fee, which will be collected by Stripe on behalf of The Coaching Hut. All fees include any applicable VAT or other sales tax. 6.3 The Service Fee is payable by the Client in exchange for the provision of the services listed in clause 2 of these terms and conditions. The Service Fee will be determined by applying a 25% deduction to the Coach Fee.

6.4 The Client authorises The Coaching Hut to instruct Stripe to charge their credit/debit card 24 hours after the scheduled end time of each Session for the Session Fee attached to the relevant Booking.

6.5 If any Client cancels a Booking less than 24 hours before the relevant Session is due to commence, payment may be taken less than 24 hours after the Session is due to end. 6.6 If any Client makes a Complaint (claiming for a Missed Session or raising a refund request, charges may nevertheless be processed as usual to collect payment, and refunded as appropriate, in accordance with these terms and conditions.

6.7 For Online Coaching sessions, Clients will be charged the full Coach Fee, provided the Coach attended the Online Coaching Room for at least 15 minutes from the Session’s scheduled start time. No charge will be made to the Client if a Coach does not attend for at least the first 15 minutes of a Session and, therefore, give the Client sufficient opportunity to attend. Additionally the Coach will be liable to pay The Coaching Hut a charge of 10% of the Coach Fee.

6.8 If a Session does not take place because a Client does not attend (whether in person or via the Online Coaching Room, as applicable), the Client will be charged the full Coach Fee.

6.9 Payment processing services on The Coaching Hut's Website are provided by Stripe Payments Europe, Ltd trading as Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement – United Kingdom (together, the “Stripe Terms”). By agreeing to these terms and conditions or continuing to operate as a Coach on The Coaching Hut's Website, the Coach agrees to be bound by the Stripe Terms, as the same may be modified or amended by Stripe from time to time; and Coach agrees to provide The Coaching Hut with accurate and complete information about themselves and, where relevant, their business, and each Coach authorises The Coaching Hut to share with Stripe such information and transaction information related to Coach's use of the payment processing services provided by Stripe.

6.10 Stripe normally transfers a Coach's Coach Fee from the Coach's Stripe connected account to the Coach's nominated account within 9 days following a Session, provided the relevant ID has been provided and passes Stripe’s verification process.

6.11 Coach’s earnings may be held in Escrow until Stripe’s verification requirement is completed.

6.12 Coaches are solely responsible for ensuring that all relevant taxes are paid on any Coach Fees they receive.

  1. Cancellations 7.1 A Client may cancel a Booking at any point before the scheduled start time of a Session.

7.2 A Client may only cancel a Session by cancelling the relevant Booking on the Website. Cancellations made through direct contact with the Coach, such as by text or phone, and not through the Website, may result in charges still being made to a Client’s account.

7.3 Cancellations made 24 or more hours before a Session is due to commence will incur no charge. If proven to be due to extreme circumstances. The Coaching Hut has full discretion to determine what are extreme circumstances.

7.4 Should the Client cancel a Booking more than 24 hours before the session, 95% of the Coach Fee shall be returned to the Client. The Coaching Hut will, as the Coach’s agent, automatically instruct Stripe to charge the Client 5% of the Session Fee and payment will be processed in accordance with these terms and conditions.

7.5 Should the Client cancel a Booking less than 24 hours before the session, 100% of the Coach Fee shall be forfeited, The Coaching Hut will, as the Coach’s agent, automatically instruct Stripe to charge the Client 100% of the Session Fee and payment will be processed in accordance with these terms and conditions. . If there are extenuating circumstances surrounding the Session cancellation then a full refund may be made at the discretion of the Coach and The Coaching Hut.

7.6 Should the Coach cancel a Booking, 100% of the Coach Fee shall be returned to the Client. The Coach shall incur a cancellation charge of 10% of the original Coach Fee. . If there are extenuating circumstances surrounding the Session cancellation then a full refund may be made at the discretion of the Coach and The Coaching Hut.

7.7 Should the Coach need to cancel a booking, Coaches must inform the Client directly via the Website and cancel the Booking on the Website. The Client will not be charged any Session Fee or, if the Client has paid the Session Fee, will receive a full refund.

7.8 Bookings cannot be cancelled after the Session has started. Coaching sessions which are not cancelled by the Client before the start time but are not attended by the Client will be charged at their full price. If there are extenuating circumstances surrounding the Session cancellation then a full refund may be made at the discretion of the Coach and The Coaching Hut.

  1. Missed Coaching Sessions and Complaints 8.1 As defined at the end of these terms and conditions, a “Complaint” covers any cause for the Client to seek a refund as a result of the service provided by the Coach, including, but not limited to, a Missed Session (where the Coach did not attend a Session booked on the Website) or a claim about quality (where the Client feels that the service provided by a Coach falls below the standards they reasonably expected).

8.2 A Client should inform The Coaching Hut of a Complaint via the Contact Us page (www.thecoachinghut.com/contact-us) 48 hours after the scheduled finish time of the relevant Session.

8.3 When a complaint has been received from a Client, The Coaching Hut will contact the Coach within 72 hours of the complaint being received, by email and text message to inform the Coach that a complaint has been raised.

8.4 Should a Client inform The Coaching Hut of a complaint within 48 hours after the scheduled finish time of the relevant Session, the Coach has 48 hours to inform The Coaching Hut through the Website of their desire to dispute the complaint (and reject the associated refund request). Should the Coach not dispute the complaint through the Website within 48 hours of being notified of the complaint, The Coaching Hut, as the agent of the Coach, will instruct Stripe to process a full refund to the Client of the Coach Fee and apply the applicable charges as detailed in Clause 7. The Coaching Hut reserves the right, as a goodwill gesture, to instruct Stripe to process a refund of the Service Fee for the Booking related to the Session the complaint is regarding. The Coaching Hut will promptly inform the Client of the Coach’s decision whether or not to uphold their complaint by email and, if upheld, authorise the associated refund.

8.5 Should a Client inform The Coaching Hut of a complaint more than 48 hours after the scheduled finish time of the relevant Session, the Coach has 48 hours to inform The Coaching Hut by chat or email of their desire to uphold the complaint (and authorise The Coaching Hut on the Coach’s behalf to award the associated refund of the Coach Fee and apply the applicable charges as detailed in Clause 7. Should Coaches not contact The Coaching Hut within 48 hours to uphold the complaint, The Coaching Hut, as the agent of the Coach, will inform the Client by email of the Coach’s decision to reject their complaint and reject the associated refund request.

8.6 Should the Client and Coach not reach an amicable agreement regarding a complaint; the Client is entitled to make a claim against the Coach in relation to the complaint. The Coaching Hut accepts no liability in relation to complaints and the services provided by a Coach.

8.7 The Coaching Hut reserves the right to offer any Client, as a gesture of goodwill, payment of a sum equivalent to the full Session Fee. Such a payment will be awarded solely at The Coaching Hut’s discretion and will be at their cost.

8.8 The Coaching Hut will review any complaint regarding the conduct of an individual Coach before passing it on to the appropriate Accreditation Body (AC, EMCC or ICF).

8.9 The Coaching Hut reserves the right to suspend or terminate a Coaches listing as the result of a complaint related to conduct.

  1. Failed Payments 9.1 As defined in clause 18.5, ‘Failed Payment’ means an outstanding Session Fee for a Booking, for which Stripe, as instructed by The Coaching Hut, has been unable to make a successful charge against the payment details provided by the Client.

9.2 In the case of a Failed Payment still being outstanding 48 and 72 hours after the scheduled end of the relevant Session, the Client authorises The Coaching Hut to automatically instruct Stripe to retry the charge.

9.3 The Client can also give The Coaching Hut consent by chat, email, SMS or support messages to instruct Stripe to retry payments for any outstanding Failed Payment.

9.4 As the agent of the Coach, The Coaching Hut reserves the right to protect the Coach from further loss of earnings by cancelling Coaching sessions and their associated Bookings at any point with a Client who has an outstanding Failed Payment (including for a Client who has an outstanding Failed Payment for a Booking with another Coach).

9.5 In the case of a Failed Payment still being outstanding 96 hours after the scheduled end of the relevant Session, The Coaching Hut will cancel all of the Client's further Bookings and inform the Coach by SMS that Stripe has been unable to collect payment on their behalf. The Coach must not make any further Bookings for Coaching sessions with the Client until the Failed Payment has been settled by Stripe making a successful charge for the full Session Fee.

9.6 As the agent of the Coach, The Coaching Hut may continue to seek payment to cover Failed Payments from the Client for ninety days following the scheduled end of the relevant Session, by contacting the Client by email, SMS and/or phone.

9.7 The Client accepts that The Coaching Hut reserves the right to pass bad debts for The Coaching Hut’s Service Fees to third party debt collection services and acknowledge that their credit rating may be affected.

9.8 The Coaching Hut will not be liable to the Coach for any lost earnings resulting from any Failed Payment.

9.9 The Coaching Hut without obligation, reserves the right to pay the Coach, as a gesture of goodwill, an amount equal to the Coach Fee for any Coaching sessions for which there has been a Failed Payment. This right is entirely at the discretion of The Coaching Hut.

  1. Disclaimers and Limitation of Liability 10.1 Nothing in these terms and conditions in any way limits or excludes The Coaching Hut's liability for its negligence causing death or personal injury or for anything which is not permitted by law to be excluded or limited.

10.2 All Users must give The Coaching Hut a reasonable opportunity to remedy any matter for which The Coaching Hut is potentially liable before incurring any costs remedying the matter themselves.

10.3 The Coaching Hut shall not be liable for any loss or damage caused by it or its employees or agents in circumstances where: ● there is no breach of a legal duty of care owed by The Coaching Hut or by any of its employees or agents; ● such loss or damage was not reasonably foreseeable by both parties; or ● such loss or damage is caused by the User, for example by not complying with these terms and conditions.

10.4 To the extent permitted at law, the User will be liable for any reasonably foreseeable loss or damage The Coaching Hut suffers arising from the User's breach of these terms and conditions or misuse of the Website (subject of course to The Coaching Hut's obligation to mitigate any losses).

10.5 The following clauses apply only if the User is not a consumer: To the extent allowed by law, the User and The Coaching Hut exclude all terms, whether imposed by statute or by law or otherwise, that are not expressly stated in these terms and conditions. In this clause, any reference to The Coaching Hut includes its employees and agents. The Coaching Hut's liability of any kind (including in respect of its own negligence) with respect to the Website for any one event or series of related events is limited to £100 or the total Service Fees paid by the User in the 12 months before the event(s) complained of, whichever is higher. In no event (including The Coaching Hut's negligence) will The Coaching Hut be liable for any: ● economic losses (including, without limitation, loss of revenues, profits, contracts, business or anticipated savings); ● loss of goodwill or reputation; ● special, indirect or consequential losses; or ● damage to or loss of data (even if The Coaching Hut has been advised of the possibility of such losses). the User will indemnify The Coaching Hut against all claims and liabilities directly or indirectly related to the User's use of the Website and/or breach of these terms and conditions. These terms and conditions constitute the entire agreement between the parties with respect to their subject matter and supersede any previous communications or agreements. The parties both acknowledge that there have been no misrepresentations and that neither has relied on any pre-contractual statements. Liability for misrepresentation (excluding fraudulent misrepresentation) relating to these terms and conditions is excluded.

  1. Coaching Sessions - Client responsibility 11.1 Clients must be at least 18 years old to book a class for themselves. Clients under the age of 18 must be represented by a parent or legal guardian who gives consent for them to enrol in a Coaching Session delivered by The Coaching Hut. The Coaching Hut is not responsible for any dispute between a person under the age of 18 and a parent or guardian.

11.2 Cancellations: Clients may cancel any class, without incurring any charge, by giving more than 72 hours' notice. Should the Client cancel a Booking more than 24 hours before the session, 95% of the Coach Fee shall be returned to the Client. The Coaching Hut will, as the Coach’s agent, automatically instruct Stripe to charge the Client 100% of the Session Fee and payment will be processed in accordance with these terms and conditions.

Should the Client cancel a Booking less than 24 hours before the session, 100% of the Coach Fee shall be forfeited, The Coaching Hut will, as the Coach’s agent, automatically instruct Stripe to charge the Client 100% of the Session Fee and payment will be processed in accordance with these terms and conditions.

11.3 When a Booking is confirmed, the Client enters into a direct contract with the Coach for the provision of the class and The Coaching Hut accepts no liability in relation to the Coach’s provision of sessions.

11.4 If a Client is unable to attend one or more of the sessions, no partial refunds will be given for sessions not attended.

11.5 Clients are responsible for ensuring that they have the correct equipment to be able to access the Online Coaching Room prior to an Online class. No refunds will be made in the event that Clients are unable to access the Online Coaching Room for whatever reason, save where such inability to access the Online Coaching Room arises as a result of The Coaching Hut failing to provide the services outlined in clause 2.2 of these terms and conditions.

11.6 Refunds may be subject to The Coaching Hut’s discretion.

  1. Coaching Sessions - Coach responsibility 12.1 Coaches agree that The Coaching Hut reserves the right to cancel a session ahead of commencement, by giving the Coach 24-hours’ notice.

12.2 Coaches are responsible for ensuring that they have the correct equipment to be able to access the Online Coaching Room prior to an Online class.

12.3 If a Coach is unable to attend one or more of the sessions scheduled, they should give The Coaching Hut 24-hours’ notice ahead of the session. Should the Coach cancel a Booking, 100% of the Coach Fee shall be returned to the Client. The Coach shall incur a cancellation charge of 10% of the Coach Fee.

12.4 Coaches agree that The Coaching Hut reserves the right to withhold payment for classes which are not completed.

12.5 Coaches agree to adhere to the submitted schedule of learning, as approved by The Coaching Hut.

12.6 Coaches agree to only use the Coaching Room provided by The Coaching Hut for their classes, and in the event of Coaching Room issues will contact The Coaching Hut immediately for an alternative Coaching Room.

  1. Intellectual Property 13.1 When submitting material to The Coaching Hut, Clients and Coaches also grant to The Coaching Hut a non-exclusive, royalty-free, non-terminable licence to copy, modify, distribute, show in public and create derivative works from that material.

13.2 You are responsible for all code, video, images, information, data, text, software, music, sound, photographs, graphics, messages or other materials (“content”) that you upload, post, publish or display or email or otherwise use via the website or the Service.

13.3 You agree to not use the service to email or upload any content that: ● infringes any copyright, intellectual property or other proprietary rights of any party ● you do not have a right to upload under any law or under contractual or fiduciary relationships ● contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment ● poses or creates a privacy or security risk to any person ● constitutes unsolicited or unauthorised advertising, promotional materials, commercial activities and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” “sweepstakes,” or any other form of solicitation ● is unlawful, harmful, threatening, abusive, harassing, tortious, violent, defamatory, vulgar, obscene, pornographic, libellous, invasive of another’s privacy, hateful racially, ethnically or otherwise objectionable ● in the sole judgment of The Coaching Hut, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose The Coaching Hut or its users to any harm or liability of any type

13.4 The Coaching Hut reserves the right to investigate and take appropriate legal action against anyone who, in The Coaching Hut’s sole discretion, violates this provision, including without limitation, removing the offending content from the Service, suspending or terminating the account of such violators and reporting you to the law enforcement authorities.

13.5 You agree to grant The Coaching Hut permission to use any images you have independently created and uploaded on our site for any use, including marketing or promotional purposes, without restriction, prior notice or compensating you in any way.

  1. Changes to these terms and conditions 14.1 The Coaching Hut may change these terms and conditions by posting the revised version on the Website at least 14 days before they become effective. Please check the Website from time to time. Users will be bound by the revised terms and conditions if they continue to use the Website or the services following the effective date shown.

  2. Governing Law & Jurisdiction 15.1 These terms and conditions and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with English law and the courts of England shall have exclusive jurisdiction to settle any such dispute or claim will be decided only by the courts of England.

15.2 If any clause or any part of these terms and conditions is found to be unenforceable in law, the other terms and conditions will remain in force.

  1. Definitions 16.1 “Booking” means the booking attached to an individual Session on the Website.

16.2 “Complaint” means a claim by a Client that either the service provided by a Coach falls below the standards the Client expected of a Coach introduced by The Coaching Hut, or, that there was a Missed Session.

16.3 “Content” means all information of whatever kind (including information, service provider listings, profiles, Reviews), published, stored or sent on or in connection with the Website.

16.4 “Failed Payment” means an outstanding Session Fee for a Booking, for which Stripe, as instructed by The Coaching Hut, has been unable to make a successful charge against the payment details provided by the Client.

16.5 “Session” means, unless otherwise specified, a one-to-one coaching session between a Client and a Coach, including both in-person and online sessions.

16.6 “Missed Session” means a claim by a Client that they have not received a Session with a Booking on the Website.

16.7 “Online Coaching Room” means The Coaching Hut’s own online session space which is made available to Users at the time of booked Online Coaching sessions.

16.8 “Online Session” means a one-to-one coaching session between a Client and a Coach delivered through The Coaching Hut’s Online Coaching Room.

16.9 “Review” means any review, comment or rating.

16.10 “Stripe Terms” means the terms set out by Stripe Payments Europe, Ltd trading as Stripe, as set out within the Stripe Connected Account Agreement, which includes the Stripe Services Agreement – United Kingdom.

16.11“Client” means a User who has registered a Client account on the Website. The Client must be at least 18 years old. Where the learner is under 18 years old, the Client will be their parent or guardian.

16.12 “Client Restriction Period” means, as defined in clause 4.9, being at the time of booking any Coach, during any period of confirmed Bookings with any Coach or at any time within six months of the date of the most recent Booking with the relevant Coach.

16.13 “Coach” means a User who has registered a Coach account on the Website.

16.14 “Coach Fee” means that part of the Session Fee which is collected by The Coaching Hut as agent for the Coach as described in clause 6.2.

16.15 “Coach Restriction Period” means, as defined in clause 5.13, being at the time of booking any Session with any Client, during any period of confirmed Bookings with any Client or at any time within six months of the date of the most recent Booking with the relevant Client.
